Job Summary:

This role will involve working on all company secretary matters of Company and its subsidiaries globally. As the designated Company Secretary of Infifresh Foods Private Limited, the candidate will be responsible for leading equity and debt fund raise, board and shareholder meetings, corporate
housekeeping and regulatory filings with the Ministry of Corporate Affairs, Reserve Bank of India, interacting with Registrar and Transfer agent and others. This role will also be designated as the Compliance Officer in relation to a public market listing of the Company which is anticipated in the coming years.

Job Requirements and Responsibilities:

1. Responsible for performing the duties pertaining to board and shareholder meetings and approvals,
address investor queries, dematerialization of shares, assistance in documentation for equity and
debt fund raise, coordinate with Registrar and Transfer Agent, performing pre-closing and post
closing secretarial actions, filing returns and forms with Ministry of Corporate Affairs, Reserve Bank
of India and such other authorities as applicable.
2. Hands on with compliances relating to listed companies in India, experience in handling queries
from SEBI, NSE, BSE and other regulatory bodies. Well versed with IPO, Rights Issue related aspects
applicable to a public or listed company.
3. Hands on knowledge and working experience with Companies Act, Exchange Control Regulations,
Overseas Direct Investment regulations.
4. Responsible for secretarial compliances, corporate housekeeping, updated minutes, statutory
registers and all other secretarial records for the Company and its subsidiaries in Asia, Middle East,
Europe and the US.
5. Devise and implement standard operating procedures within the Company to ensure effective
compilation of board deck, agenda items and consent matters. Coordinate with stakeholders in
finance, human resources and other functions in preparation of annual reports.
6. Support internal auditor, statutory auditor for audits for all legal entities of the group. Compile data
in data rooms for enabling diligences for raising equity and debt.
7. Such other tasks, assignments as may be assigned by the Legal Head.


Requirements


Qualifications and Experience:


(a) Associate or Fellow Member of the Institute of Company Secretaries of India. Additional law qualifications will be preferred.
(b) Self starter, willing to work in a fast paced environment, with at least 12–15 years of post-qualification experience in listed companies having multiple subsidiaries outside India OR experience in taking a company with international subsidiaries into IPO in India.
(c) Go getter attitude, team player. Ability to handle multiple assignments and manage major projects to successful completion.
(d) Highest standards of professional integrity. Excellent interpersonal, organizational and analytical skills.
